1. About the Service
Manager.io Nigeria E-invoice Connector (“Connector”, “Service”, “we”, “us” or “our”) is an independent software integration solution developed and supported by Adib Tech Team.
The Service is designed to assist registered Manager.io businesses in connecting their accounting and invoicing workflow with supported Nigeria e-invoicing processing through applicable MBS/NRS environments.
The Service may include:
- Manager.io integration and guided onboarding;
- separate TEST and PRODUCTION processing routes;
- Sales Invoice processing;
- Credit Note processing;
- NRS IRN and QR Code write-back;
- payment-status synchronisation;
- subscription and trial management; and
- technical support relating to the Connector.
2. Independent Service
Manager.io Nigeria E-invoice Connector is an independent integration solution.
Adib Tech Team is not the Nigeria Revenue Service, the Merchant Buyer Solution provider, Manager.io, or any government authority, unless expressly stated otherwise in writing.
References to NRS, MBS, Manager.io, Selar or other third-party platforms are used only to identify systems or services with which the Connector may interact.
3. Eligibility and Authority
You may use the Service only where:
- you have authority to configure and process transactions for the relevant Manager.io business;
- the business has the registrations, approvals and credentials required for the e-invoicing environment it intends to use;
- the information supplied during onboarding is accurate and current; and
- use of the Service is lawful in the circumstances.
4. Free Trial
A qualifying newly registered business may receive a free trial of up to 10 successful submissions.
The trial is granted per registered business or tenant and is not intended to be repeatedly recreated to avoid purchasing annual access.
Only transactions recognised by the Service as successful submissions count against the trial allowance. Validation failures, status checks and other unsuccessful actions do not ordinarily consume a successful-submission allowance.
When the available trial submissions have been used, further processing may be restricted until valid annual access is activated.
5. Annual Access
The current standard annual access price displayed by the Service or public website is:
₦280,000 per registered Manager.io business for 365 days.
Prices may be changed for future purchases or renewals. A price change will not normally shorten an annual term that has already been validly activated.
Annual access begins when the applicable subscription is activated following the required payment verification process.
6. Payments
Payments may be made using approved payment methods made available through the Service, including Selar where configured.
You are responsible for ensuring that:
- payment information is accurate;
- the correct business is identified;
- the correct amount is paid; and
- payment evidence or references supplied are genuine.
A submitted payment request does not by itself guarantee activation. Payment may be subject to verification before annual access is confirmed.
7. Refunds and Payment Corrections
Refunds, cancellations and payment corrections will be handled reasonably and in accordance with applicable Nigerian law.
A refund or correction may be considered where, for example:
- a duplicate payment was made;
- an incorrect amount was paid;
- payment was made for a service that was not activated;
- we are unable to provide the purchased service; or
- applicable law otherwise requires a refund or remedy.
Once annual access has been activated and the Service has been materially used, a refund is not automatically available merely because the customer later chooses to discontinue use.
Nothing in these Terms removes any refund, cancellation, repair, re-performance or other consumer right that cannot lawfully be excluded.
8. Renewal
Annual access is for a defined 365-day term and does not automatically guarantee a further term unless renewal is completed.
Renewal may become available during the final part of the current subscription term. Applicable renewal pricing and payment procedures will be shown at the time of renewal.
9. Customer Responsibilities
You are responsible for the accuracy, completeness and lawfulness of information entered into Manager.io and submitted through the Service.
This includes, where applicable:
- Seller TIN and business information;
- customer and buyer details;
- invoice and Credit Note information;
- dates, quantities, prices and taxes;
- currencies;
- country codes;
- HSN or service classifications;
- unit codes;
- MBS/NRS credentials; and
- PRODUCTION activation decisions.
You should review transactions before submission and should not repeatedly submit a document that has already received an IRN or confirmed submitted status.
10. TEST and PRODUCTION Environments
TEST and PRODUCTION are treated as separate processing environments.
TEST should be used for sandbox or testing activity. PRODUCTION should be used only when the business has valid live credentials and is ready for official processing.
11. Credentials and Account Security
You must protect credentials, access tokens, passwords, API secrets, certificates and other authentication information.
You must not knowingly share sensitive credentials with unauthorised persons or publish them in screenshots, public repositories or unsecured communications.
Notify Adib Tech Team promptly if you reasonably believe an access token or Connector credential has been compromised.
12. Acceptable Use
You must not use the Service to:
- submit deliberately false or fraudulent invoices;
- impersonate another business;
- gain unauthorised access to another tenant;
- bypass trial or subscription controls;
- interfere with the security or availability of the Service;
- introduce malicious code;
- attempt unauthorised extraction of credentials or private data; or
- use the Service in violation of applicable law.
13. Suspension or Restriction
Access may be temporarily suspended or restricted where reasonably necessary to protect the Service, customers, data or third-party systems.
This may include circumstances involving:
- suspected fraud;
- security compromise;
- fake or disputed payment evidence;
- material breach of these Terms;
- attempted unauthorised access;
- expired subscription access; or
- technical or regulatory requirements.
Where appropriate, access may be restored after the underlying issue has been resolved.
14. Third-Party Services
The Connector depends on or interacts with third-party platforms including Manager.io, MBS/NRS infrastructure, hosting providers, payment providers and internet/network services.
Third-party outages, API changes, certificate changes, credential changes, maintenance or service restrictions may temporarily affect Connector functionality.
We do not control third-party systems and cannot guarantee their continuous availability.
15. Service Availability and Maintenance
We aim to maintain reliable service but do not promise uninterrupted or error-free availability.
The Service may occasionally be unavailable because of:
- maintenance;
- security updates;
- software releases;
- database or infrastructure maintenance;
- third-party outages;
- regulatory or API changes; or
- events reasonably outside our control.
16. Software Changes
We may update the Service to improve security, functionality, regulatory compatibility or integration with third-party systems.
Where reasonably practical, material changes affecting customer workflows will be communicated through the Service, website or other available contact channel.
17. Intellectual Property
The Connector's original software, website design, documentation and related materials remain the property of their respective owners.
Use of the Service does not transfer ownership of the Connector source code or proprietary implementation materials to the customer.
Third-party names, trademarks and software remain the property of their respective owners.
18. Data Protection and Privacy
Personal data and business information processed through the Service will be handled in accordance with the applicable Privacy Policy and relevant data-protection requirements.
Please read our Privacy Policy when it is published alongside these Terms.
19. Limitation of Liability
To the maximum extent permitted by applicable law, Adib Tech Team will not be responsible for indirect, incidental, special or consequential loss arising solely from use or inability to use the Service.
We are not responsible for losses caused solely by:
- incorrect data supplied by the customer;
- incorrect TEST or PRODUCTION credentials;
- unauthorised use of customer credentials;
- third-party system outages or changes;
- customer submission of duplicate or incorrect documents; or
- failure to follow reasonable processing instructions.
Nothing in these Terms excludes or limits liability, rights or remedies where such exclusion or limitation is prohibited by law.
20. No Tax, Legal or Regulatory Advice
The Connector is a technical integration tool. Its operation does not constitute tax, legal or regulatory advice.
Customers remain responsible for determining their own tax, invoicing, accounting and regulatory obligations and should obtain professional advice where necessary.
21. Termination by the Customer
A customer may stop using the Service at any time. Discontinuing use does not automatically create a right to refund an already activated subscription, except where a refund or other remedy is required under these Terms or applicable law.
22. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service, law, regulation or third-party integration requirements.
The current version will be published on this website with its effective or updated date.
23. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, without excluding any mandatory rights or protections available under applicable law.
24. Complaints and Dispute Resolution
If you have a complaint about the Service, please contact us first so that we can investigate and attempt to resolve the matter promptly.
Nothing in these Terms prevents a customer from using any complaint, regulatory or judicial process lawfully available to them.
